Our total liability, if any, shall not exceed the amount of fees you have paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless TransPay Global, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Failure to pay fees or charges
• Providing false information
• Security concerns
• Regulatory compliance issues

Upon termination, you remain liable for all outstanding obligations, fees, and charges. We may freeze or hold funds as necessary to satisfy any outstanding obligations.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

1. Negotiation: Parties shall attempt to resolve disputes through good faith negotiation
2. Mediation: If negotiation fails, disputes shall be submitted to mediation
3. Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules
4. Jurisdiction: These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles
